Terms of Service

By accessing or using the NexavateAI platform — including the public website, SYRA patient assistant, NEXA staff copilot, appointment booking system, or associated APIs — you agree to these Terms of Service ("Terms").

If you use NexavateAI on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must not use the platform.

In the demo environment:

• Appointment bookings may not be fulfilled by real healthcare professionals
• AI responses are for demonstration purposes only
• Do not submit real emergency or sensitive medical information
• Data may be reset or cleared periodically
• Feature availability may change without notice

For actual medical care, contact a qualified healthcare professional or your registered clinic directly.

For medical emergencies, call your local emergency services immediately (e.g., 112 in India, 911 in USA, 999 in UK). Do not rely on NexavateAI for emergency assistance.

NexavateAI is a healthcare operations software product — designed to improve clinic administrative efficiency, not to provide clinical guidance. Use of the platform does not create a patient-doctor relationship of any kind.

The AI features of NexavateAI (SYRA and NEXA) are powered by large language models (LLMs). You acknowledge and agree that:

• AI responses may contain inaccuracies, errors, or omissions ("hallucinations")
• AI assistants are not a substitute for qualified professional advice in any domain
• AI features are for operational assistance only (scheduling, clinic info, admin tasks)
• AI-generated prescription drafts in NEXA must be reviewed and approved by a licensed doctor before use
• AI cannot guarantee availability, accuracy, or continuous operation
• AI is not trained to recognise mental health crises or provide crisis support — contact appropriate professionals for such needs

When using the appointment booking feature:

• You must provide accurate contact information and verify your email address via OTP
• Bookings are subject to clinic availability and confirmation by clinic staff
• A booking confirmation on this platform does not guarantee an appointment until confirmed by the clinic
• Cancellations and rescheduling are subject to clinic policy
• NexavateAI is not responsible for missed appointments, scheduling conflicts, or clinic-side availability changes

In the demo environment, bookings are not connected to real healthcare providers and should not be treated as confirmed medical appointments.

You agree to:

• Provide accurate, truthful information when using the platform
• Use the platform only for lawful purposes
• Not attempt to bypass, disable, or circumvent any security controls
• Not submit false booking information or impersonate others
• Keep any account credentials or session tokens confidential
• Not attempt to extract, scrape, or reverse-engineer the platform
• Report suspected security vulnerabilities to info@nexavateai.com rather than exploiting them

You may not use NexavateAI to:

• Submit or distribute malware, spam, or harmful content
• Conduct automated scraping, crawling, or data harvesting
• Overwhelm or disrupt platform services (DDoS or similar)
• Attempt to access data or systems beyond your authorised scope
• Use the AI to generate harmful, illegal, or deceptive content
• Impersonate a healthcare professional, clinic, or NexavateAI
• Violate any applicable laws, including healthcare data protection regulations

NexavateAI reserves the right to suspend or terminate access for violations of this section without notice.

All rights, title, and interest in the NexavateAI platform — including software, design, brand, AI models, and documentation — belong to NexavateAI or its licensors. These Terms do not grant you any ownership rights.

Clinics and customers retain ownership of their data entered into the platform (patient records, appointments, custom knowledge base content). NexavateAI does not claim ownership of customer data.

You may not reproduce, distribute, modify, or create derivative works of the NexavateAI platform without written permission, except as permitted by applicable law.

NexavateAI provides the platform on an "as available" basis. We do not guarantee:

• Uninterrupted or error-free operation
• Specific uptime or availability levels (unless specified in a written enterprise contract)
• That AI features will always produce accurate or complete results

We may perform maintenance, updates, or modifications that temporarily affect availability. We aim to provide advance notice for planned maintenance affecting enterprise customers.

To the maximum extent permitted by applicable law:

• NexavateAI is provided "as is" and "as available" without warranties of any kind
• NexavateAI expressly disclaims all implied warranties, including merchantability and fitness for a particular purpose
• NexavateAI shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from your use of the platform shall not exceed the amount you paid us in the 12 months preceding the claim (or INR 1,000 for free/demo users)

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless NexavateAI, its officers, employees, and partners from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of or access to the platform
• Your violation of these Terms
• Your violation of any third-party rights or applicable law
• Any content you submit to the platform

NexavateAI may suspend or terminate access to the platform at any time, for any reason, including violation of these Terms, with or without prior notice for egregious violations.

Upon termination, your right to use the platform immediately ceases. We will provide enterprise customers with a reasonable data export opportunity before account closure, subject to applicable retention requirements.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of [New Delhi / your registered city], India.

For disputes with enterprise customers, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days before initiating formal legal proceedings.

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates the most recent revision. Material changes will be communicated via the platform or by email to registered enterprise customers. Continued use of the platform after a change constitutes acceptance of the revised Terms.
